Parties & Structure
This Master Service Agreement (MSA) governs all services between Noah Kain Consulting and [The Client]. Specific deliverables, timelines, and prices are defined in Statements of Work (SOWs)/Order Forms attached to this MSA.
Fees & Billing
Retainers are billed every 4 weeks (13 cycles/year). Autopay required.
30-Day Sprint Pricing Mechanics
30‑Day Sprint list price: $3,000. Pay‑Now: $1,500 due at execution. Pay‑Later: $0 today; $3,000 on Day 30 if Acceptance Criteria are met (card on file).
Acceptance Criteria (for Pay‑Later)
Acceptance met when: (a) all fixes outlined in the Recovery Plan are shipped, and (b) KPI Movement Report with Before/After Scoreboard is delivered.
Founder’s Rate (lifetime while active)
Standard retainer: $5,000/4 weeks. Founder’s Rate: $4,000/4 weeks if Client continues within 7 days of Day‑7 Plan delivery. Pausing/canceling forfeits Founder’s Rate; future service at then‑current list.
Delivery & Timeline
Day 0–1: Access + baselines. Day 7: Gap Report + Recovery Plan + first fixes live; Founder’s Rate window begins. Day 30: Final delivery; Pay‑Later charge (if chosen).
Conditional Guarantee
If Agency does not deliver agreed fixes on prioritized pages AND show leading‑indicator movement by Day 30, Agency will continue working at no additional service fees until met.
Client Responsibilities
Provide GSC/GA/CMS access within 48 hours, timely approvals, and a single decision‑maker.
Changes & Out‑of‑Scope
Scope changes require written approval; out‑of‑scope billed at discussed rate or quoted fixed fee.
Term & Termination (Retainer)
Month‑to‑month at list; or discounted commitment with waived fee that becomes due if terminated early.
Payments, Late, Chargebacks
Card on file; late fees after 7 days; service suspension for nonpayment; no chargebacks
IP, Confidentiality, Case Studies
Client owns final site content. Agency retains processes. Agency may use anonymized results unless Client opts out in writing.
Dispute Resolution
Good‑faith cure period → mediation/arbitration in Baltimore, Maryland, United States of America.
Sprint SOW
Deliver: Day‑7 Plan + prioritized fixes on top 10 YoY/MoM losers; Day‑30 Before/After Scoreboard. List Price $3,000. Pay Now Price $1,500 with access to Founder’s Discount until Day 14. Pay Later Price $0 Today. $3,000 on Day 30 auto billed with card on file if acceptance criteria are met ((a) all fixes outlined in the Recovery Plan are shipped, and (b) KPI Movement Report with Before/After Scoreboard is delivered)
Retainer SOW
Deliver: Ongoing SEO strategy and monthly (4-week) SEO content creation (7-8,000 words per month, backlink building (outreach with goal of 10 backlinks per month), and on-page and technical SEO improvements (as needed). Monthly reporting cadence; Pricing is $4,000/mo if using Founder’s Discount otherwise $5,000/mo per MSA. 4‑week billing cadence.
